Muhammad Azfar is the Founder, Managing Partner, and Chief Executive Officer of Auctus Capital Partners, a boutique investment bank serving the lower middle market from offices in Chicago, Pittsburgh, Palm Beach, Boston, and LA/New York. Over more than fifteen years in investment banking and strategic advisory, he has personally led or co-led upwards of fifty financing and M&A engagements representing more than $1 billion in aggregate transaction value across technology, healthcare, industrials, business services, and food & beverage.

Under his leadership, Auctus has been recognized repeatedly by Axial, the leading private deal network for the North American lower middle market, including a No. 1 ranking among lower-middle-market investment banks in Q1 2022, and subsequent placements in the Top 25 Investment Banks, Top 50 Software M&A Advisors, and Top 50 Business Services M&A Advisors.

Investment Banking Leadership

Mr. Azfar founded Auctus Capital Partners to bring institutional-grade financial engineering to founder-led businesses in the $20M to $200M transaction range, a segment historically underserved by both bulge-bracket banks and high-volume advisory shops. He oversees the firm’s strategic direction, investment banking activities, and senior-banker engagement model, ensuring that every client engagement is led from the engagement letter through closing by a senior partner rather than handed off to junior associates.

His direct deal involvement spans the full spectrum of lower-middle-market advisory work:

The breadth of these engagements, spanning sub-sectors from environmental and infrastructure services to enterprise software, healthcare staffing, and consumer products, reflects a deliberate strategy: deep vertical expertise paired with the structural flexibility to engineer the right outcome for each founder-owner.

Mr. Azfar is regularly sought out for his perspective on lower-middle-market deal dynamics. Mergermarket cited him in its Deal Drivers Americas mid-year 2019 report, where he noted that “convergence is one common driver across the largest megadeals as well as lower middle-market transactions.” He has been quoted in Axial’s 2023 Software M&A Market Outlook, contributed perspective to multiple Axial League Table reports, and is a recurring voice on the role of private equity capital deployment in lower-middle-market activity.

Auctus’s repeated placement in Axial’s quarterly League Tables under his leadership is a recognized benchmark in the lower-middle-market advisory community. The League Table methodology weights selectivity, the relative attractiveness of client engagements, and overall sell-side process efficacy, making it one of the more rigorous independent measures of advisory performance in the segment.

 

Prior Experience

Before founding Auctus Capital Partners, Mr. Azfar built his investment banking career across both boutique and broker-dealer platforms:

  • Managing Director and Partner, MSC Advisors, where he led M&A and capital advisory engagements across diversified industrials, business services, and technology.
  • Vice President and Director, Houlihan Smith & Company, focused on middle-market financing and M&A execution.
  • Analyst, Advisory and Intermediary Services, LLC, where he began his investment banking career.

He subsequently served as Chief Executive Officer and Chief Compliance Officer of Auctus Securities, LLC, a FINRA-member broker-dealer formed through Auctus Group’s acquisition of Woodville Hall Capital. The firm continues to operate as part of the broader Auctus platform.

Mr. Azfar is a graduate of Harvard Business School. He is a FINRA-registered investment banking representative whose professional background is publicly verifiable through FINRA BrokerCheck, and he holds the following securities licenses:

Beyond his work at Auctus, Mr. Azfar serves as an active board member of multiple companies in the technology, consumer services, and business services sectors, advising founder-led management teams on capital strategy, growth planning, and exit readiness.

He is also:

  • A founding member of the Chicago chapter of the Exit Planning Exchange (XPX), a multi-disciplinary community of professional advisors focused on helping owners build and transition valuable businesses.
  • An active member of the Harvard Business School Club of Chicago, one of the oldest and most established HBS alumni communities.
  • A supporter of multiple Chicago-based nonprofits focused on educational access and outcomes for underprivileged and inner-city youth.
